Anti-Bribery and Corruption

 

Request for Your Understanding and Cooperation on Mizuho’s Stance and Initiatives on Bribery, etc.

 

1. Mizuho’s Stance and Initiatives on Bribery, etc.

Mizuho acknowledges the social significance of preventing bribery1 and corruption2, and shall comply with the Anti-Bribery Acts, etc.2 Moreover, by prohibiting employees from involving in bribery and corruption and by promoting fair and honest conduct as indicated below, it shall aim to maintain and develop sound corporate activities.

  • Mizuho clearly expresses its stance that it will not pursue increase of sales or improvement of benefit by wrongful acts in corporate activities, and will not permit employees to pursue improvement of benefit by involving in bribery and corruption whatsoever.
  • Compensation or rewards paid by Mizuho in return to corporate activities based on contract shall be proportionate to and directly related to the features of the goods and services received. It shall not pay compensation or other rewards that exceed the standard price of the applicable market.
  • Mizuho shall prevent executives and employees from involving in bribery and corruption by prohibiting such in the following activities:
    • Exchange of entertainment and gifts
    • Donation to political parties, etc.
    • Recruitment, etc.
    • Facility payment3
    • Conclusion of contracts for outsourcing of operations and engaging third parties
    • Corporate acquisitions
    • Other acts related to duties

 

2. Matters Requested to Our Service Providers

While Mizuho takes steps to prevent bribery and corruption as indicated in 1 above, we request our service providers not to engage in bribery or corruption, and to establish a framework to prevent such acts.
We appreciate your understanding on Mizuho’s initiatives, and ask your company to share the status of establishing the above framework for preventing bribery and corruption.

 

 

  1. “Bribery” refers to the provision and receipt of bribe.
    • “Provision of bribe” refers to the act of directly or indirectly providing, applying for or promising to provide bribe to public officials or a third party irrespective of the purpose (not limited to obtaining benefit for oneself or a third party).
    • “Receipt of bribe” refers to the act of receiving, requesting, or promising to receive bribe in relation to one’s duties irrespective of the purpose (not limited to obtaining benefit for oneself or a third party).
  2. “Corruption” refers to the act that violates the Japanese or foreign laws or regulations, etc. related to bribery (collectively referred to as “Anti-Bribery Acts, etc.”) caused by abuse of the public position or public power by public officials, etc.
  3. “Facilitation payment” refers to making payments for the purpose of facilitating administrative formalities to gain undue benefit in conducting corporate activities and business promotion.
