ESG: There is no globally accepted framework or market consensus for what constitutes an Environmental, Social or Governance (“ESG”)product, or for related terms such as ‘green’, ‘sustainable’ or‘climate’. ESG can mean very different things to different people. Different regions and jurisdictions have different approaches to the development of ESG standards. Even where regional regulatory frameworks provide some form of local common standard for certain ESG Products (e.g. the EU’s Taxonomy Regulation on what is a ‘environmentally sustainable economic activity’ or the EU’s Green Bond Regulation on the ‘green bond standard’), the application of their underlying methodologies and assessments still involves the exercise of judgement and discretion. Therefore, there remains significant scope for divergent approaches to be taken within the market, such that institutions can often offer similar sounding but fundamentally different ESG products.

Regulatory frameworks for ESG are subject to periodic review and can be changed. This is fairly commonplace given the relative nascency of ESG regulatory frameworks and the continually evolving nature of ESG. This means that a product which at one time qualified as an ESG product under a given ESG regulatory framework can quickly cease, or find itself at risk of ceasing, to be so. ESG data (e.g. on issuers and projects) is of limited availability and may not be reliable. It is often necessary to use specialist ESG data sourced from third-party data providers as inputs into ESG processes.

Such data will itself also be subject to material limitations, such as: i) limitations in the methodologies used by third-party data providers; ii) data lags, coverage gaps or other data quality issues; iii) divergent ESG-related approaches, methodologies and disclosure standards with respect to the identification, assessment or disclosure of ESG factors; iv) the qualitative and subjective nature of ESG information and assessments,meaning that any one data source may not represent the complete picture; and v)the possibility of relevant data changing. Some ESG data provided by third-party providers is not sourced directly from investee companies but constitute estimates that a provider has prepared using its own proprietary methodologies. Mizuho EMEA does not make any representation or warranty as to the completeness or accuracy of any such third-party data, orof data that is generated using third-party data.
